1. Agreement to the Terms

These Terms of Service (“Terms”) govern access to and use of PMG Amplifier (“PMG”, “the service”), including the public website at https://pmgamplifier.com and the authenticated application available to approved users.

By accessing or using the service, requesting access, creating an account, or connecting a third-party platform through PMG, you agree to these Terms and to the Privacy Policy.

2. Operator and contact information

The service is operated by PHAT MUSIC GROUP INC. (also referred to as Phat Music Group Inc.). Contact: support@phatmusicgroup.com. Website: https://pmgamplifier.com.

3. Eligibility

You must be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract to use PMG Amplifier. The service is intended for adults and professional/business users managing music marketing, catalog, and related workflows.

If you use the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Accounts and access

Access to the authenticated application is access-controlled. Accounts may require approval before full use. You must provide accurate registration information and keep it updated.

Authorized users may sign in at app.s3lim.com/login.

5. Private beta and access approval

PMG Amplifier may be offered with limited availability or access approval. Features can vary by account, region, platform approval status, and configuration. Limited availability does not mean the TikTok-facing production integration is unfinished where it has been submitted for platform review; it means PMG controls who receives accounts and which features are enabled.

6. Account security

You are responsible for safeguarding your credentials and for activity under your account. Notify support@phatmusicgroup.com promptly if you suspect unauthorized access. PMG may suspend access when we reasonably believe security is at risk.

7. Description of the service

PMG Amplifier is a music marketing, catalog amplification, and music-IP workflow platform. Depending on enabled features, it may help approved users manage songs and assets, prepare and review content, run campaign workflows, use Ghost Poster handoffs or supported platform uploads, measure smart-link and campaign activity, and operate related catalog tools.

Exact modules available to you depend on your access, configuration, and third-party platform approvals.

8. TikTok and third-party integrations

TikTok is a third-party service. PMG is not TikTok and is not endorsed by TikTok unless TikTok expressly states otherwise. Connecting TikTok authorizes only the access disclosed during TikTok’s consent flow and described in our Privacy Policy (including user.info.basic and video.upload when requested).

Other integrations (for example YouTube, Instagram, or Meta-related tools) are likewise optional third-party services governed by their own terms.

9. User authorization and control

You control whether to connect platforms, which content to prepare, and whether to initiate an export, handoff, or supported upload. You may disconnect TikTok from Ghost Poster → Accounts → Disconnect, and you may revoke access in TikTok’s own settings.

10. User content and uploaded materials

“User Content” means music, audio, video, images, captions, hashtags, metadata, campaign materials, comments, and other content you upload, submit, generate through requested tools, or otherwise provide to PMG.

You are solely responsible for User Content and for ensuring it is lawful and properly authorized.

11. Rights users retain

You retain ownership of your User Content. Uploading or processing content in PMG does not transfer ownership of your music, artwork, or other materials to PHAT MUSIC GROUP INC.

12. Limited license granted to PMG

You grant PHAT MUSIC GROUP INC. a limited, non-exclusive license to host, store, process, reproduce, format, transmit, display, and deliver User Content solely as needed to operate the service features you use (including connected-platform workflows you initiate).

This license is not a broad perpetual marketing right. Any separate promotional use of your content outside operating the service requires your additional explicit permission.

13. User representations and warranties

You represent that you have all rights, licenses, consents, and permissions needed to provide User Content and to use connected platform accounts you authorize, and that your use of PMG will not violate applicable law or third-party rights.

14. Music, copyright, trademark, publicity, and other rights

You are responsible for music rights, master rights, publishing rights, samples, artwork, name/likeness, trademarks, metadata, captions, and any other rights implicated by your User Content and campaigns.

Do not upload or submit content you are not authorized to use. PMG may remove or restrict content where necessary for legal, security, or policy reasons.

15. Prohibited conduct

You may not:

  • use the service unlawfully;
  • infringe copyrights, trademarks, publicity, or other rights;
  • impersonate others or misrepresent affiliation;
  • access accounts or systems without authorization;
  • upload malware or harmful code;
  • abuse platform APIs or rate limits;
  • engage in artificial engagement manipulation or spam;
  • scrape the service in ways not permitted by law or these Terms;
  • bypass access controls or security measures;
  • upload content without necessary rights;
  • provide knowingly misleading metadata;
  • reverse engineer protected components except where non-waivable law allows;
  • interfere with service security or other users;
  • use PMG to violate TikTok or other third-party platform policies.

16. Content Posting API and user-initiated uploads

When TikTok Content Posting API draft/inbox upload is available for your account, that flow is user-initiated. It may deliver a draft/inbox item to TikTok for further action inside TikTok. A draft/inbox upload is not the same as a completed public post.

Manual handoff remains available where API upload is not enabled or not used. Direct public publishing without user action is not how PMG operates.

17. No automatic publishing

PMG does not auto-post to TikTok and does not publish to TikTok without user action. You remain responsible for reviewing captions, media, and destination details before initiating supported upload, export, or handoff steps.

18. Third-party platform terms

You must comply with TikTok’s terms, community standards, music rules, and developer/API requirements, and with the terms of any other platform you connect. Platform outages, moderation, account restrictions, API changes, and policy enforcement by third parties are outside PMG’s control.

19. Service changes and availability

Features may change, be added, limited, or discontinued. Integrations depend on third-party platforms and approvals. Uptime is not guaranteed. You should keep copies of important content outside PMG.

20. Suspension and termination

We may suspend or terminate access for security reasons, legal reasons, abuse, violation of these Terms, nonpayment where fees apply, or when access is otherwise revoked.

Termination of access does not automatically erase every record that must be retained for legal, security, accounting, or dispute purposes, as described in the Privacy Policy.

21. Fees and payment

Some features may involve credits, service orders, or other paid offerings processed through our payment provider. If you use paid features, you agree to the applicable pricing and payment terms presented at purchase. If you do not use paid features, no payment obligation arises solely from browsing the public website.

22. Confidential or limited-access features

Certain features, reviewer environments, or pre-release capabilities may be confidential or limited to approved users. You may not publicly disclose non-public credentials, reviewer passwords, or confidential pre-release materials provided to you.

23. Intellectual property owned by PMG

The PMG Amplifier software, branding, interface, documentation, and related materials are owned by PHAT MUSIC GROUP INC. or its licensors. Except for the limited rights granted to use the service, no rights are transferred to you.

24. Feedback

If you provide feedback or suggestions, you grant PHAT MUSIC GROUP INC. a non-exclusive, royalty-free right to use that feedback to operate and improve the service without obligation to you.

25. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. PHAT MUSIC GROUP INC. DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR ANY PARTICULAR COMMERCIAL RESULT FROM TIKTOK OR OTHER PLATFORMS.

26. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHAT MUSIC GROUP INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Nothing in these Terms excludes liability that cannot be excluded under applicable law. Any specific monetary liability cap is subject to human legal review and is not asserted as a certified cap in this draft beyond the foregoing limitation language.

27. Indemnification

To the extent permitted by law, you will defend and indemnify PHAT MUSIC GROUP INC. against third-party claims arising from your User Content, your connected-platform actions, your violation of these Terms, or your infringement of third-party rights, except to the extent caused by PMG’s willful misconduct. The scope of indemnification should be reviewed by counsel for your jurisdiction.

28. Governing law and dispute provisions

These Terms are intended to be interpreted under applicable law governing PHAT MUSIC GROUP INC.’s operation of the service. This public draft does not invent a new exclusive venue, arbitration clause, or class-action waiver.

Dispute-resolution mechanics (including governing jurisdiction, arbitration, and class-action treatment) require human legal review before being asserted as binding specialty clauses.

29. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.

30. Assignment

You may not assign these Terms without our prior consent. We may assign these Terms in connection with a corporate reorganization, merger, or sale of assets related to the service.

31. Entire agreement

These Terms and the Privacy Policy form the agreement between you and PHAT MUSIC GROUP INC. regarding the service, superseding prior conflicting online terms for the same subject matter, except for separate written agreements that expressly control.

32. Changes to the Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page will change when we do. Continued use after an update constitutes acceptance of the revised Terms to the extent permitted by law.
